DEFINITION OF SOFTWARE
Software means the Marai software libraries, including but not limited to Marai.Cryptography, Marai.LightMapper, Marai.Bridgeton, Marai.EventBus and any associated source code, binaries, compiled assemblies, documentation, updates, and related materials provided by the Licensor.
FREE LICENSE
The Software is provided free of charge. No payment, license fee, royalty, or other compensation is required to use the Software under the terms of this Agreement.
GRANT OF LICENSE
Subject to the terms of this Agreement, the Licensor hereby grants you a non-exclusive, worldwide, royalty-free, and free-of-charge license to use the Software for personal and commercial purposes.
This includes the right to:
- Use the Software in personal, internal, or commercial applications
- Include the Software as a dependency within your application
- Deploy applications that include the Software to customers or end users
- Use the Software as part of commercial products, services, or systems
This license permits use of the Software only as a component of your application and does not grant the right to distribute the Software independently.
PERMITTED REDISTRIBUTION
You may redistribute the Software only as embedded within a compiled application or product that you develop, provided that the Software is not exposed, marketed, or distributed as a standalone library, SDK, or development tool.
RESTRICTIONS
You may NOT:
- Redistribute, sublicense, sell, lease, or otherwise distribute the Software as a standalone product, library, or SDK
- Use the Software to create, develop, or offer a competing library, framework, SDK, or development tool that substantially replicates the functionality of the Software
- Claim ownership, authorship, or origin of the Software or any portion thereof
- Remove, alter, or obscure any copyright, license, or attribution notices
- Reverse engineer, decompile, or attempt to extract the source code of the Software, except where explicitly permitted by applicable law
- Use the Software for illegal, fraudulent, malicious, or deceptive purposes, including but not limited to malware, scams, or unauthorized data access
OWNERSHIP
The Software is licensed, not sold. The Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights.
This Agreement does not grant you any ownership rights to the Software.
NO SUPPORT OBLIGATION
The Licensor is under no obligation to provide support, maintenance, updates, modifications, or enhancements to the Software.
Support may be provided at the Licensor’s sole discretion.
TERMINATION
This license is effective until terminated.
Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term of this Agreement.
Upon termination, you must immediately cease use of the Software and destroy all copies in your possession or control.
The provisions relating to ownership, restriction, disclaimer of warranty, limitation of liability, and governing law shall survive termination.
DISCLAIMER OF WARRANTY
THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- SECURITY OR ERROR-FREE OPERATION
THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION.
LIMITATION OF LIABILITY
IN NO EVENT SHALL THE LICENSOR, AUTHORS, OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, INCLUDING BUT NOT LIMITED TO:
- DIRECT DAMAGES
- INDIRECT DAMAGES
- INCIDENTAL DAMAGES
- CONSEQUENTIAL DAMAGES
- LOSS OF DATA
- LOSS OF PROFITS
- BUSINESS INTERRUPTION
- SECURITY BREACHES
ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR INABILITY TO USE THE SOFTWARE.
THIS LIMITATION APPLIES REGARDLESS OF LEGAL THEORY, WHETHER IN CONTRACT, TORT, OR OTHERWISE.
COMMERCIAL DISTRIBUTION OF THE SOFTWARE ITSELF
This license does NOT grant permission to distribute, sell, sublicense, publish, or otherwise make the Software available as a standalone product, library, SDK, framework, or development tool without explicit prior written permission from the Licensor.
Any such distribution requires a separate commercial license agreement.
RIGHT TO MODIFY LICENSE
The Licensor reserves the right to modify this License Agreement for future versions of the Software.
Software versions already distributed will remain governed by the license in effect at the time of distribution.
GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles.
SUMMARY OF PERMITTED USE (NON-LEGAL SUMMARY)
You are allowed to:
- Use the Software for free
- Use it in commercial applications
- Use it in SaaS systems
- Use it in enterprise systems
- Deploy applications that include the Software
You are NOT allowed to:
- Resell the Software itself
- Redistribute the Software as a standalone library
- Create competing libraries based on the Software
- Claim the Software as your own
